These Terms of Service ("Terms") are a binding agreement between you ("you", "Customer") and SendREi ("SendREi", "we", "us"), operator of the SendREi.ai platform (the "Service"). SendREi.ai is operated by SendREi LLC, a Florida limited liability company. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

SendREi provides software that helps real estate professionals send and manage text-message (SMS/MMS) conversations with their own contacts, including AI-assisted replies, lead qualification, campaigns, and reporting. SendREi is a software provider — it is not a telecommunications carrier, and it does not provide legal, financial, or compliance advice.

2. Eligibility & accounts

• You must be at least 18 and able to form a binding contract.
• You must provide accurate account information and keep it current.
• You are responsible for all activity under your account and for keeping your login secure.

3. Your messaging responsibilities

Text messaging is heavily regulated. You are solely responsible for complying with all laws and carrier rules that apply to the messages you send, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing laws, and the messaging policies of the mobile carriers and The Campaign Registry (A2P 10DLC). You represent and agree that:

• You have the legal right and any required prior express consent to contact each person you message, and can produce proof of that consent on request.
• You will honor opt-out requests (such as STOP) promptly and will not message anyone who has opted out.
• You will only upload contact data you are authorized to use, and your messages will be truthful and identify you.
• You will not send content prohibited by carriers (including sex, hate, alcohol, firearms, tobacco, illegal drugs, or other unlawful activity).
• You will complete A2P 10DLC registration where required, with accurate information.

SendREi may suspend or terminate messaging we reasonably believe violates these requirements or that a carrier flags or blocks.

4. Acceptable use

You agree not to use the Service to send spam, harassing, deceptive, or unlawful messages; to violate anyone's privacy or intellectual-property rights; to disrupt, reverse-engineer, scrape, or gain unauthorized access to the Service; or to resell the Service except as expressly permitted.

5. Your data & content

As between you and SendREi, you own the data, contacts, and message content you upload or create ("Customer Data"). You grant SendREi a limited license to host, process, and transmit Customer Data solely to provide the Service, as described in our Privacy Policy. You are responsible for the accuracy and legality of your Customer Data.

6. AI features

The Service uses third-party AI to help draft and qualify messages. AI output can be inaccurate. You are responsible for reviewing how the Service messages on your behalf, including any automated replies you enable. You can pause or take over any conversation at any time.

7. Fees, billing & subscriptions

• Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Some usage (such as messages sent) may incur additional usage-based charges.
• By subscribing, you authorize recurring charges to your payment method until you cancel.
• Fees are exclusive of taxes, which are your responsibility.
• Except where required by law, fees are non-refundable, including for partial periods or unused messages.
• If a payment fails, we may suspend the Service. We may change pricing on reasonable notice, effective at your next billing cycle.

8. Third-party services

The Service relies on third parties — including Twilio (message delivery), Anthropic (AI), Stripe (payments), and our hosting provider. SendREi is not responsible for outages, message blocking or filtering, or errors caused by carriers or these providers, and does not guarantee that any message will be delivered.

9. Cancellation & termination

You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate access if you breach these Terms, fail to pay, or create legal risk for SendREi or our providers. You may request an export of your Customer Data for a reasonable period before deletion.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SENDREI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT MESSAGES WILL BE DELIVERED, OR THAT IT WILL PRODUCE ANY PARTICULAR RESULT, AND DOES NOT PROVIDE LEGAL OR COMPLIANCE ADVICE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENDREI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. SENDREI'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID SENDREI IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will defend, indemnify, and hold harmless SendREi and its owners, employees, and providers from any claims, damages, fines, and costs (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, your messages, or your violation of these Terms or any law — including any claim that you messaged a person without the required consent.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Your continued use of the Service after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Florida, and you consent to their jurisdiction.
